Board of Director responsibilities and governance. As a member of BFC Financial Board (OTC), Mr. Nicholson has an in-depth understanding of what is expected of a member of the Board of Directors.

FDIC and other regulatory matters. Mr. Nicholson and his team have been retained on several occasions to assist in defending directors of failed banks.

Risk management and policy matters. Mr. Nicholson and team members have written bank lending policies, calculated loan loss reserves, understand appraisal conventions, have worked out REO (special assets), and evaluated lending concentrations by risk category.

Real estate and commercial lending matters. Mr. Nicholson and his team have extensive experience in sourcing, underwriting, approving and administering commercial and commercial real estate loans.

Depository issues and fraudulent withdrawals. Members of Mr. Nicholson's team have successfully advised clients involved in matters where banks had allegedly failed to fulfill their obligations, contractual and implied, to depository customers.

Residential loan matters. Members of Mr. Nicholson's team have extensive experience in originating, underwriting, approving, closing, shipping, selling and servicing residential loans,

Loan syndications. Mr. Nicholson and his team have an in-depth understanding of the loan sale process and the obligations of the various parties.

Swaps and derivatives. Mr. Nicholson and members of his team understand this complex process and the obligations of the various parties.

FINRA compliance and member responsibilities regarding clients. Mr. Nicholson serves as the chief compliance officer for Heritage Capital Group and possesses a comprehensive understanding of the FINRA standards of "suitability", "know your customer" and appropriate behavior and expectations of boutique broker-dealers operating principally in an advisory and M&A capacity.
